- Representation of The Estee Lauder Companies Inc. [NYSE: EL] in multiple acquisitions across the EU and Asia, including the investment in and acquisition of Korea-based Have & Be Co. Ltd.; the acquisition of Paris-based prestige fragrance brand By Kilian; the acquisition of Editions de Parfums Frédéric Malle, the storied fragrance brand established by the iconic perfumer Frédéric Malle (a grandson of Christian Dior); and a strategic investment in the multinational, multibrand company, DECIEM.
- Representation of Indorama Ventures [OTC: INDOY], Thailand’s leading global chemical company, in the acquisition of plants and facilities in the United States, India, Australia, Mexico, and elsewhere. Matters include the completed $2 billion acquisition of Huntsman Corporations’ specialty chemicals portfolio; the acquisition of M&G Chemicals’ Corpus Christi production facility (along with other strategic transactions on behalf of M&G Chemicals); and the acquisition of the PTA business of CEPSA Chimie Montréal s.e.c in Montreal, Canada, from Cepsa Química SA.
- Representation of two of the world’s largest port terminal operators and a major freight railway carrier in the U.S. Chapter 15 bankruptcy case of Hanjin Shipping, the seventh-largest container shipping company in the world at the time of the filing in 2016, which followed on Hanjin’s insolvency filing in the Republic of Korea.
- Representation of the Official Committee of Unsecured Creditors in the Chapter 11 bankruptcy case of Yueting Jia, a Chinese national who personally guaranteed $6.5 billion of corporate debt of Faraday Future and LeEco, a provider of video streaming services in China.
- Represented Israeli-founded medical technology company Motus GI Holdings, Inc. [NASDAQ: MOTS], in its initial public offering and follow-on offering.
- Regular representation of Israel-based emerging growth tech companies in their expansion into the U.S. market.
- Representation of domestic and international investment funds, including sovereign wealth funds, in connection with fund formation and structuring, regulatory and compliance matters, trading determinations, alternative data agreements, employment matters, and investments in the United States and globally.
- Secured a $475 million arbitration award on behalf of a Chinese insurer in an international arbitration venued in Hong Kong relating to a $5 billion cross-border M&A transaction.
- Global Trade & Policy: Advising U.S. and foreign clients on global trade issues, including helping clients manage trade risks, ensure regulatory compliance, and communicate their positions to legislators and policymakers.
- Emerging Companies & Venture Capital (fka, The Tech Group): Emerging Companies & Venture Capital Chair Ed Zimmerman was appointed to the Conseil Stratégique de l'Attractivité of France, where he served as part of a 30-member group of international business leaders advising the government and President of France (2014). He was similarly invited to the White House during the Obama administration and to the Élysée Palaceto meet with senior officials to discuss how America and, separately, France, can enhance their communities of startups and tech investors. He has also been called upon to provide similar input to Luxembourg’s Prime Minister and Minister of Finance.
- White Collar Criminal Defense practice:
- Counsels foreign corporations with respect to the efforts of the Department of Justice to identify and prosecute international cartels in criminal antitrust matters
- Counsels companies with respect to the initiatives the Department of Justice takes to identify and prosecute Foreign Corrupt Practices Act (FCPA) matters.
