Sarah’s practice focuses on advising public and private companies on corporate governance and securities law compliance matters, including reporting and disclosure obligations under the Securities Exchange Act of 1934. She has extensive experience representing issuers and underwriters in a variety of registered and exempt equity and debt securities offerings, including initial public offerings, follow-on equity offerings, convertible debt and equity offerings, high-yield debt offerings, and rights offerings.
Sarah’s perspective is enhanced by her previous experience at two Am Law 100 firms, where she represented financial institutions and issuers in a wide range of credit facilities and debt securities offerings. She has led and managed deal teams across a broad range of industries, including communications, health care, entertainment, and transportation.
Sarah is also involved in various diversity initiatives at the firm, such as the LGBTQ+ Alliance and the Women’s Initiative Network. She is passionate about pro bono matters, including through her work with the Transgender Legal Defense & Education Fund (TLDEF) and its Name Change Project.
