Sarah Cole’s practice centers on advising public and private companies on corporate governance and securities law compliance matters, including reporting and disclosure obligations under the Securities Exchange Act of 1934, NYSE and Nasdaq considerations, and other compliance matters. She also has extensive experience representing issuers and underwriters in a variety of registered and private equity and debt offerings, such as IPOs, follow-on equity offerings, convertible debt and equity offerings, and rights offerings, as well as reverse mergers and SPAC transactions.

Sarah’s perspective is enhanced by her previous experience at two Am Law 100 firms, where she represented financial institutions and issuers in a wide range of credit facilities and debt securities offerings. She has led and managed deal teams across a broad range of industries, including communications, health care, energy, and transportation.

Sarah is also involved in various diversity initiatives at the firm, such as the LGBTQ+ Alliance, where she serves as a co-lead, as well as the Women’s Initiative Network and the Mental Health & Wellness Group. She is passionate about pro bono matters, including through her work with the Transgender Legal Defense & Education Fund (TLDEF) and its Name Change Project. She also serves on the Board of Trustees of the North Jersey Community Research Initiative (NJCRI), a non-profit organization that provides health and wellness services to unhoused and low-income individuals in New Jersey.
