Rebecca represents corporate clients, including private equity firms, in mergers and acquisitions. 

In M&A transactions, she provides assistance with drafting and negotiating transaction documentation and with representation and warranty insurance for both buyers and sellers. 

Rebecca also represents startup companies in venture capital investments, for which she drafts agreements concerning stock purchases; rights of first refusal; and co-sale, voting, and investors’ rights.

She is a former intern for the Hon. Charles E. Ramos of the New York State Supreme Court.

  • Represented LifeLabs Learning in its sale to Atairos, an independent strategic investment company.
  • Represented Crimson Investment in the sale of Ameda, a breast pump and infant feeding business, to International Biomedical.
  • Represented Interstate Chicago, LLC, an out-of-home advertising company, in the sale of its membership interests of Interstate JCDecaux, LLC, the operator of a digital billboard network in Chicago, to JCDecaux North America, Inc.
  • Represented Interblock, d.d., a leading developer and supplier of luxury fully and semi-automated electronic table games globally, in its sale to funds managed by Oaktree Capital Management, L.P.
  • Represented NexPhase Capital, LP an operationally-focused private equity firm its acquisitions of Aztec Software, an educational software company focused on the adult education and workforce training and certification markets.
  • Represented Nicole Miller, a global fashion and lifestyle brand, in a majority investment by Gordon Brothers.
