Manali Joglekar counsels startups and established corporations, in addition to private equity and growth equity venture capital firms, on the privacy and intellectual property impacts of acquisitions and other complex transactions. Her background in electrical and computer engineering enhances her perspective on the effective management and protection of IP assets, as well as compliance with the constantly evolving regulatory regimes governing data privacy, cybersecurity, and artificial intelligence (AI).
Manali’s data privacy practice focuses on the cybersecurity impact of M&A, venture capital transactions, and representations and warranties. She advises both investors and corporations on data collection and transfers, data privacy framework certifications, privacy policies and terms of use statements for websites and mobile apps, and AI usage as well as internal policies related to privacy and data security.
With particular experience in the healthcare field, Manali regularly counsels clients on the constantly evolving federal, state and foreign privacy and security laws and regulations—including HIPAA—that pertain to the processing of protected health information, especially with regard to AI. She frequently drafts business associate agreements under HIPAA and other commercial contracts for clients in healthcare and the life sciences.
Manali’s contract work spans a broad range of other sectors as well: she drafts professional services agreements, master services agreements, software development agreements, SAAS agreements, technology licensing agreements, and cloud services agreements, and provides counsel on commercial contracts involving non-disclosures and confidentiality, purchasing, licensing, and invention assignment.
Committed to maintaining a robust pro bono practice, Manali works closely with such organizations as Pro Bono Partnership (PBP) and Start Small, Think Big to develop compliant online programs and website policies, and in negotiating licensing agreements and other contracts. PBP recently recognized her as Volunteer of the Year for her service to nonprofits in their digital outreach and collaboration efforts.
