Alex Lipton advises clients on fund formation and complex corporate transactions, with an emphasis on venture capital, private equity, and debt finance structuring.
She counsels venture and private equity funds at all stages of their lifecycle, from formation through subscription to preparing securities filings for offerings; she also prepares responses to regulatory exams and internal and external audits, and assists with issues relating to privacy and Big Data.
Alex has extensive experience advising on fund administration from her in-house roles at Ocorian, a global leader in corporate and fiduciary services, fund administration, and capital markets; and at Flow, a start-up specializing in systems for asset managers. She leverages this insight, as well as her background as a tax consultant at a global accounting firm and an associate in a boutique New York law firm, while negotiating a wide range of transactions, such as operating agreements, shareholder agreements, profit interest agreements, leases, vendor services contracts, and other contracts.
