Stephen Zapf advises clients on corporate transactions and securities laws, with a particular emphasis on life science companies. His transactional experience includes representing issuers and underwriters in public and private offerings, including initial public offerings, follow-on offering, shelf registrations, private placements of equity and debt securities, and at-the-market offering programs.

Stephen also advises clients in such transactions as license and collaboration agreements, and public and private mergers and acquisitions. In addition, he assists clients with their corporate governance processes, securities compliance obligations, stock exchange rules, and proxy processes.

Active in the firm’s pro bono program, Stephen frequently advises non-profits on corporate governance matters.

Prior to his legal career, Stephen was the captain of the varsity swim team at Providence College and competed at the NCAA Division I level in the Big East Conference.
