Gina focuses on private fund formation, advising clients on the structuring, formation, and ongoing management of domestic and offshore private equity funds. She has experience drafting fund offering and operating documents, including private placement memoranda, limited partnership agreements, subscription agreements, investment management agreements, and commodity pool operator agreements for domestic and foreign clients, in addition to the formation of Delaware series limited liability companies.
Before joining Lowenstein, Gina practiced as an M&A and investment funds associate in Charlotte, NC, and as a corporate and securities associate in Philadelphia, PA. In addition to her work in private equity, she also has experience in cross-border mergers and acquisitions for which she has drafted complex purchase and merger agreements and overseen specialist review and due diligence efforts. Gina's experience in representing private equity clients in merger and acquisition transactions has given her valuable exposure to the business objectives of private fund clients, making her an insightful advisor to private fund clients in the investment management space.
For over seven years Gina has volunteered for the International Refugee Assistance Project (IRAP), beginning as a law student volunteer and most recently as a law firm case manager in Charlotte, NC, where she founded a local chapter and recruited attorney volunteers. She is fluent in Italian and is actively studying Arabic.
