Alan Wovsaniker has more than 40 years of experience handling mergers and acquisitions, securities offerings, corporate finance and governance, securities compliance, financial restructurings, and general corporate matters. A significant portion of Alan's practice is focused on helping biotechnology companies gain the resources they need to invent, prove, and market new ways to enhance human health. 

Alan provides his clients with comprehensive support across their companies' life cycles, whether he is acting as day-to-day legal counselor or as a key strategist for raising capital, acquiring assets and capabilities, complying with legal and regulatory requirements, or selling the business. He also helps clients restructure or sell companies that are in bankruptcy.

  • Represented Vyant Bio, Inc. (NASDAQ: VYNT), a biotechnology drug discovery company, in connection with its $20 million at-the-market offering.
  • Represented Vyant Bio, Inc. (NASDAQ: VYNT), a biotechnology drug discovery company, in connection with an equity line transaction for up to $15 million in common stock with Lincoln Park Capital Fund, LLC.
  • Represented Timber Pharmaceuticals, Inc. (NYSE: TMBR), a biopharmaceutical company focused on the development and commercialization of treatments for rare and orphan dermatologic diseases, in connection with a $17.25 million underwritten public offering of common stock and warrants.
  • Represented Celldex Therapeutics, Inc. (NASDAQ: CLDX), a biopharmaceutical company focused on the development and commercialization of immunotherapies and other targeted biologics, in connection with a $130.4 million public offering of common stock.
  • Represented Tonix Pharmaceuticals Holding Corp. (NASDQ: TNXP), a clinical-stage biopharmaceutical company focused on discovering and developing small molecules and biologics to treat pain, addiction and psychiatric conditions, in connection with an at the market offering of up to $50 million
  • Represented Cancer Genetics, Inc. (NASDAQ: CGIX), a leader in drug discovery and preclinical oncology and immuno-oncology services, in connection with an at-the-market offering of shares of common stock and in connection with an underwritten public offering of common stock.

Select Mergers & Acquisitions Experience:

  • Represented Reviva Pharmaceuticals, Inc., a clinical-stage pharmaceutical company developing therapies that address unmet medical needs in the areas of, in connection with a merger with Tenzing Acquisition Corp. (NASDAQ: TZAC), a special purpose acquisition (SPAC), resulting in a total post-money equity value of the combined company of approximately $120 million.
  • Represented Cancer Genetics, Inc. (Nasdaq: CGIX), a leader in enabling precision medicine in oncology through the use of biomarkers and molecular testing, in connection with a definitive merger agreement with StemoniX, Inc., developer and manufacturer of high-density, at-scale human induced pluripotent stem (iPSC) cell-derived neural and cardiac screening platforms for drug discovery and development, anticipated to result in a total post-money equity value of the combined company of approximately $70 million.
